Commercial Project & Fit-Out Terms

These Commercial Project & Fit-Out Terms apply to quotations, proposals, commercial furniture supply, fit-out projects, installations, and related services provided by workfurniture.

These terms should be read alongside our:

Throughout these Terms, “workfurniture”, “we”, “our”, or “us” refers to Workfurniture Limited.


1. Quotations & Proposal Validity

Unless otherwise stated, quotations and proposals are valid for 30 days from the date of issue.

Pricing is generally based on:

·       the full quoted scope proceeding

·       current supplier pricing

·       current freight rates

·       supplier availability

·       agreed quantities and specifications

workfurniture reserves the right to revise pricing where:

·       quantities change

·       specifications change

·       suppliers alter pricing

·       freight costs increase

·       exchange rates materially fluctuate

·       project scope changes

Quotations are subject to supplier availability and may be withdrawn prior to acceptance.


2. Deposits & Payment Terms

For customised, made-to-order, imported, or supplier-procured products, full payment or a deposit may be required prior to manufacture, procurement, or supplier confirmation.

For commercial projects, fit-outs, or larger orders, staged payments may apply.

Unless otherwise agreed in writing:

·       deposits may be required upon acceptance

·       progress payments may apply for staged projects

·       balances are due within the agreed invoice terms following delivery or installation

Failure to make payment may delay:

·       manufacturing

·       procurement

·       delivery

·       installation

·       project scheduling

workfurniture reserves the right to charge reasonable recovery costs and interest on overdue accounts where permitted by law.


3. Custom & Made-to-Order Products

Many commercial furniture products are manufactured or procured specifically for the customer.

This may include:

·       customised upholstery

·       custom finishes or colours

·       imported products

·       made-to-order furniture

·       custom dimensions or configurations

·       supplier-procured items

Once manufacture, procurement, or supplier ordering has commenced, these products generally cannot be cancelled, changed, returned, or refunded unless required under applicable New Zealand consumer law.

Customers are responsible for reviewing and confirming all:

·       dimensions

·       specifications

·       finishes

·       fabrics

·       colours

·       layouts

·       configurations

prior to approval.

workfurniture can provide additional specifications, dimensions, or product information upon request where available.


4. Lead Times & Supplier Delays

Estimated lead times are provided in good faith but are indicative only.

Lead times may be affected by:

·       supplier production schedules

·       imported components

·       shipping delays

·       customs delays

·       freight disruptions

·       fabric or finish availability

·       public holidays

·       weather events

·       events outside our reasonable control

workfurniture is not liable for supplier, freight, manufacturing, or shipping delays outside our reasonable control.

Where reasonably possible, we will endeavour to communicate significant delays or changes to estimated timelines.


5. Space Planning, Floor Plans & Supplier Collaboration

To assist with quotations, furniture selection, layout planning, procurement, and installation coordination, customers may provide:

·       floor plans

·       architectural drawings

·       site measurements

·       project specifications

·       layouts or design documentation

·       site or reference photographs

workfurniture may share relevant project information with suppliers, manufacturers, installers, freight providers, or service partners where reasonably necessary to:

·       prepare quotations

·       create furniture layouts

·       undertake space planning

·       prepare installation plans

·       coordinate deliveries

·       review product suitability

·       support project execution

Some suppliers or manufacturers may use their own planning or layout software when assisting with furniture layouts or project planning.

Customers are responsible for verifying all final measurements, layouts, dimensions, and site information prior to manufacture or installation.


6. Delivery & Installation

Commercial project deliveries and installations may be:

·       staged

·       coordinated around site access requirements

·       scheduled around construction programmes

·       dependent on supplier despatch schedules

·       subject to site readiness and access conditions

Delivery and installation dates are estimates only unless expressly confirmed in writing.

Customers are responsible for ensuring:

·       safe and suitable access

·       clear installation areas

·       lift and stair access where required

·       loading zone availability

·       site readiness

·       access during agreed delivery windows

Additional charges may apply where:

·       deliveries are delayed or rescheduled

·       site access restrictions are not disclosed

·       additional labour or stair carries are required

·       waiting time is incurred

·       installations cannot proceed due to site conditions

workfurniture may coordinate additional installation labour, onsite assistance, or project resources where required.


7. Storage & Re-Delivery

Where delivery or installation is delayed due to customer request, project delays, site readiness, or inability to accept delivery, workfurniture reserves the right to charge:

·       storage fees

·       re-delivery fees

·       additional freight charges

·       handling charges

·       additional labour costs

Storage availability cannot always be guaranteed.


8. Product Variations & Samples

Commercial furniture products may contain natural or manufacturing variations.

Minor variations in:

·       fabric shade

·       timber grain

·       veneer pattern

·       stitching

·       texture

·       dimensions

·       colour appearance

·       powder-coat finish

may occur between:

·       samples

·       website imagery

·       supplier photography

·       production batches

·       finished products

These variations do not constitute faults or defects.

Physical samples are indicative only and may not exactly match final production.


9. Ownership & Risk

Risk in products passes to the customer upon delivery.

Ownership of goods remains with workfurniture until payment has been received in full.


10. Defects, Returns & Warranty

Warranty claims, freight damage claims, returns, and product defects are subject to:

·       our Warranty Policy

·       our Returns & Refunds Policy

·       applicable New Zealand consumer law

Where appropriate, products may be repaired, replaced, or otherwise resolved in consultation with suppliers or manufacturers.


11. Cancellation & Variations

Cancellation or variation requests after acceptance may incur:

·       supplier cancellation fees

·       restocking fees

·       freight charges

·       storage costs

·       administrative charges

·       costs associated with completed manufacturing or procurement

Where project scope changes after quotation acceptance, additional charges may apply.


12. Limitation of Liability

To the maximum extent permitted by law, workfurniture is not liable for:

·       indirect or consequential loss

·       delays outside our reasonable control

·       supplier or freight delays

·       project delays caused by site readiness or third parties

·       loss of profits, revenue, or business interruption

Nothing in these Terms excludes any rights that cannot legally be excluded under New Zealand law.


13. Consumer Guarantees Act

Where products or services are supplied for business purposes, and to the extent permitted by law, the Consumer Guarantees Act 1993 shall not apply.

Nothing in these Terms is intended to exclude or limit any rights that cannot legally be excluded under applicable New Zealand consumer law.


14. Acceptance of Terms

Acceptance of a quotation, proposal, invoice, purchase order, or commencement of work constitutes acceptance of these Commercial Project & Fit-Out Terms.
